How do I buy AppHarvest, Inc. stock?

No.  You can contact your personal brokerage firm to purchase shares of AppHarvest common stock. AppHarvest does not offer a direct stock purchase plan. 
What is the difference between APPH and APPHW?
“APPH” is the ticker symbol for AppHarvest common stock, and “APPHW” is the ticker symbol for warrants to purchase AppHarvest common stock. Both the common stock and the warrants trade on Nasdaq.

Inquiries regarding stock transfers, lost certificates or address changes should be directed to the transfer agent identified above. AppHarvest is not able to process any stock transfers other than through our transfer agent.
 

Warrants

When can I exercise my warrants?

The warrants become exercisable on May 19, 2021, twelve months following the closing of the Initial Public Offering of Novus Capital on May 19, 2020. 

The warrants expire at 5:00 p.m., New York City time, on January 29, 2026, unless earlier redeemed or terminated under their terms. In addition, the warrants may not be exercised for cash unless a registration statement covering the shares issuable upon exercise of the warrants is effective and current and the prospectus relating to those shares is current at the time of the proposed exercise.

If I own an AppHarvest warrant (APPHW), does that mean I have the right to buy a share of AppHarvest common stock (APPH) for $11.50?
Yes, subject to the terms and conditions of the warrant.
What is the strike price of the warrants?
The warrants have a strike price of $11.50 per share. 
 
What is the term of a warrant?
Each warrant has a 5-year term from the closing date of the business combination between Novus Capital and AppHarvest. The warrants expire at  5:00 p.m., New York City time on January 29, 2026 unless earlier redeemed or terminated under their terms. 
 
How do I exercise my warrants?
If you hold warrants and have funds available in your brokerage account ($11.50 per warrant) to satisfy the warrant strike price, you may exercise warrants by contacting your personal brokerage firm (e.g., Fidelity, BofA Merrill Lynch, Charles Schwab, Vanguard, E-Trade, etc.) and notifying them of your intent to exercise.
 
After I notify my broker of my intent to exercise (which can only be exercised after AppHarvest’s Registration Statement on Form S-1 has been declared effective), what is the process?
Please call your personal brokerage firm in order to learn about the process to exercise your warrants.
After I exercise my Warrants, how soon will I be able to trade the underlying shares of Common stock?
Upon (1) exercise by the warrant holder, and (2) upon delivery of underlying shares of common stock to your personal brokerage firm, such shares are expected to be immediately tradable. Note that it typically takes at least a day or two for the underlying shares of common stock to be transferred.
Are the APPH Warrants redeemable by AppHarvest?
No, they are not currently redeemable. AppHarvest will issue a press release to announce when the warrants become redeemable. Please refer to the News Releases section to see if this has been announced.
